The Position

Purpose of role

The Company Secretarial Business Partner will be a key strategic partner in helping to deliver the introduction of a new corporate services firm to Guernsey.

The role will involve establishing a new business, initially to serve group clients, but in the medium term allowing the role holder to build an independent business which grows to fill a need in the market for quality-led company secretarial services.

About RAW Capital Partners

RAW Capital Partners is an investment manager and specialist lender based in Guernsey. We currently operate in a specialist segment of the mortgage market as well as providing specialist investment products to institutional investors.

The firm is seeking to diversify its operations and is looking to launch a corporate service provider firm with an initial specialism in company secretarial provision.

The Responsibilities

  • Lead the establishment and operational setup of a new company secretarial and corporate services business within the RAW Capital Partners group.
  • Provide high-quality company secretarial services to group entities, including governance support, statutory compliance, and board administration.
  • Develop and implement processes, systems, and controls to ensure the efficient delivery of services in line with Guernsey regulatory requirements and best practice.
  • Act as the main point of contact for company secretarial matters across the group, ensuring timely and accurate delivery of all filings, resolutions, and corporate records.
  • Build and maintain strong relationships with key stakeholders including directors, senior management, external legal counsel, and regulators.
  • Monitor changes in relevant legislation and the regulatory environment, assessing impact and implementing necessary changes to service delivery.
  • Drive the commercial development of the company secretarial business, identifying and pursuing growth opportunities with external clients.
  • Recruit, mentor, and lead a small team as the business scales, fostering a high-performance and client-focused culture.
  • Contribute to strategic business planning and play a key role in the long-term success and independence of the new corporate services firm.

Experience / Qualifications / Education

Requirements and qualifications

  • Proven experience in a company secretarial or corporate governance role, ideally within a regulated financial services or fiduciary environment.
  • ICSA/CGI qualification (or working towards) or equivalent professional accreditation preferred.
  • Strong knowledge of Guernsey company law, corporate governance standards, and regulatory obligations.
  • Demonstrated ability to build and manage business operations, including implementing systems and procedures.
  • Track record of delivering high-quality company secretarial services to boards and senior stakeholders.
  • Entrepreneurial mindset with the confidence and initiative to build a new business offering from the ground up.
  • Excellent communication, relationship-building, and interpersonal skills.
  • Strong attention to detail, organizational skills, and ability to manage multiple priorities.
  • Experience leading or mentoring team members is an advantage.
